1. OUR SERVICES
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. The Services are intended for users and businesses located in the United States. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.
The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
2. MASTER AGREEMENTS AND ORDER OF PRECEDENCE
Some Customers enter into a separate written agreement with us governing their use of the Services, such as a master services agreement, subscription agreement, order form, and/or data processing addendum (each, a "Master Agreement"). If you have entered into a Master Agreement with us, and any conflict exists between that Master Agreement and these Legal Terms, the Master Agreement controls with respect to the conflicting terms. These Legal Terms otherwise continue to apply to the extent they do not conflict with the Master Agreement.
3. ACCOUNTS AND REGISTRATION
To access most features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@atthehelm.so of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your credentials.
Accounts are provisioned to a business Customer and its authorized users. The Customer is responsible for managing its users' access, for ensuring its users comply with these Legal Terms, and for all use of the Services under its account.
We reserve the right to suspend or terminate accounts, remove or reclaim usernames, and refuse access to the Services in accordance with these Legal Terms.
4. SUBSCRIPTIONS AND FEES
Access to the Services is provided on a subscription basis. The applicable fees, billing frequency, and subscription term are set out in the order form, subscription plan, or Master Agreement applicable to your account.
Unless otherwise stated in an applicable Master Agreement: (a) fees are quoted and payable in US dollars; (b) fees are non-refundable except as required by law or as expressly provided in an applicable Master Agreement; (c) subscriptions may renew automatically for successive terms unless cancelled in accordance with the applicable order form or Master Agreement; and (d) we may change our fees on prospective notice, effective as of your next renewal term.
You are responsible for any taxes associated with your purchase, other than taxes based on our net income.
If any fees are not paid when due, we may suspend or limit access to the Services until payment is made, without liability to you.
5. CUSTOMER DATA
"Customer Data" means the raw business data that a Customer connects to, provides through, or generates in connection with the Services, including data relating to the Customer's own customers. "Derived Data" means all insights, analyses, inferences, metrics, scores, models, aggregated and statistical data, and other results and materials that we generate from, or in connection with our processing of, Customer Data.
Ownership of Customer Data. As between you and us, you retain all right, title, and interest in and to your raw Customer Data. We do not claim ownership of your raw Customer Data.
Ownership of Derived Data. As between you and us, we own all right, title, and interest in and to Derived Data, on a worldwide, perpetual, and irrevocable basis. You agree that we may use, retain, reproduce, modify, combine with other data, and otherwise exploit Derived Data for any lawful purpose, including to provide and improve the Services and to develop, operate, and provide products and features for other customers, subject to our confidentiality obligations and the licensing terms in Section 8. Derived Data does not include your raw Customer Data itself. Deleting, returning, or ceasing to process your raw Customer Data does not affect our ownership or continued use of Derived Data, and any obligation to delete Customer Data does not require us to delete or cease using Derived Data.
Authorization to process. The Services are designed to operate on Customer Data and cannot function without access to it. By registering for and using the Services, you instruct and authorize us to access, host, store, process, transmit, integrate, analyze, and otherwise use Customer Data — and to act on your behalf — as necessary to provide, operate, secure, support, and improve the Services and the features you use, to generate Derived Data, and as further described in our Privacy Policy and any applicable Master Agreement.
Access drives Service quality. You acknowledge that the performance, accuracy, and quality of the Services depend on the scope, timeliness, and continuity of the data and system access you provide. You agree to provide and maintain timely, continuous, and complete access to the data and systems necessary for the Services, and you acknowledge that we are not responsible for any limitation in the Services, or any inaccuracy or incompleteness in Outputs or Derived Data, that results from incomplete, delayed, interrupted, or inaccurate data or access.
Your responsibilities. You represent and warrant that you have all rights, consents, and permissions necessary for us to process Customer Data and generate Derived Data as contemplated by these Legal Terms, and that your provision of Customer Data and our processing of it on your behalf will not violate any applicable law or third-party right. You are solely responsible for the accuracy, quality, and legality of Customer Data and for the means by which you acquired it, including obtaining any notices or consents required for the recording, collection, or use of communications, call recordings, or personal information contained in Customer Data.
Backups. Although we perform routine backups, you are responsible for maintaining your own copies of Customer Data where important to you. To the fullest extent permitted by law, we are not liable for any loss or corruption of Customer Data, except as expressly provided in an applicable Master Agreement.
6. ARTIFICIAL INTELLIGENCE AND OUTPUTS
The Services use artificial intelligence, including large language models and other machine learning technologies, to analyze data and generate insights, summaries, narratives, classifications, scores, drafts, recommendations, and other outputs ("Outputs").
Outputs are provided for informational and operational-support purposes only. Given the nature of artificial intelligence, Outputs may be incomplete, inaccurate, or otherwise unreliable, and they may not reflect the most current information. Outputs do not constitute professional, legal, financial, tax, or other regulated advice, and you should not rely on them as a substitute for your own independent judgment or professional advice. You are responsible for reviewing Outputs and for any decisions or actions you take based on them.
We do not warrant that Outputs are accurate, complete, or fit for any particular purpose.
7. THIRD-PARTY SERVICES AND INTEGRATIONS
The Services integrate with, and rely on, third-party products, platforms, and data sources, including your existing business systems and third-party service providers. Your use of any third-party product is governed by that third party's own terms and policies, and we are not responsible for third-party products or for their availability, accuracy, or performance.
You are responsible for maintaining your own rights to access and use any third-party product you connect to the Services and for complying with the applicable third party's terms. We are not liable for any act or omission of a third party, or for any interruption, change, or discontinuation of a third-party product that affects the Services.
8. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or the licensee of all intellectual property rights in and to the Services and everything we bring to or generate through them, other than your raw Customer Data. This includes, without limitation: all source code, databases, functionality, software, website and application designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"); the trademarks, service marks, and logos contained therein (the "Marks"); all Outputs and Derived Data; and all methods, techniques, know-how, data models, data-engineering and data-transformation approaches, analytical concepts, metrics, benchmarks, workflows, plans, and automations that we develop, use, or generate in providing the Services (collectively, "Methods").
You agree that, as between you and us, we exclusively own the Outputs, Derived Data, and Methods, together with all intellectual property rights in them, on a worldwide, perpetual, and irrevocable basis, whether or not developed in connection with your Customer Data. We are free to use, reuse, generalize, and exploit the Outputs, Derived Data, and Methods for any lawful purpose and for any other customer, without restriction and without any obligation or payment to you. Nothing in these Legal Terms transfers to you any ownership of, or any right in, the Outputs, Derived Data, or Methods except the limited license expressly granted below.
For clarity, and by way of example, if we analyze your Customer Data and develop an analytical concept, metric, or automation (such as a measure of operational efficiency or a method for surfacing a particular business insight), that concept, metric, method, and automation is ours, and we may use and apply it freely across our business and for other customers.
Our Content and Marks are protected by copyright and trademark laws (and other intellectual property and unfair competition laws) and treaties in the United States and around the world.
Your license to use the Services and Outputs
Subject to your compliance with these Legal Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services, and to use the Outputs and Derived Data we make available to you, solely for your internal business purposes and solely during the term of your subscription.
The Outputs and Derived Data made available to you are licensed, not sold or assigned. Upon expiration or termination of your subscription or these Legal Terms, your license to the Services, Outputs, and Derived Data ends, and you must cease all use of the Outputs and Derived Data we made available to you and, at our request, destroy or return any copies in your possession or control, except to the extent retention is required by applicable law. This does not require you to disable or unwind actions already lawfully taken during the term, but it terminates your right to continue using, reproducing, or distributing the Outputs and Derived Data thereafter.
Except as expressly permitted, no part of the Services and no Content, Marks, Outputs, Derived Data, or Methods may be copied, reproduced, aggregated, republished, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, reverse engineered, or otherwise exploited for any purpose without our express prior written permission.
We reserve all rights not expressly granted to you. Any breach of this section constitutes a material breach of these Legal Terms and your right to use the Services will terminate immediately.
9. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) you have the legal capacity and agree to comply with these Legal Terms; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Services through automated or non-human means except as expressly permitted; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Services.
10. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

11. FEEDBACK
By submitting any question, comment, suggestion, idea, or other feedback about the Services ("Feedback"), you agree that we may use and share such Feedback for any purpose, including to develop and improve our products, without acknowledgment or compensation to you. You warrant that your Feedback is original to you or that you have the necessary rights to submit it, and that it does not constitute confidential information of any third party.
12. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms; (3) in our sole discretion, refuse, restrict access to, limit the availability of, or disable any of your content or use of the Services; and (4) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
13. PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy, available at https://atthehelm.so. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States and intended for users located in the United States. By using the Services, you consent to have your data processed in the United States.
14. TERM AND TERMINATION
These Legal Terms remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION.
Where you have a Master Agreement with us, termination and suspension are also governed by that agreement.
Upon termination, your right to access and use the Services ceases. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) will survive. Following termination, we will handle Customer Data as described in our Privacy Policy and any applicable Master Agreement.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. We reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive redress.
15. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion. We also reserve the right to modify or discontinue all or part of the Services. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services, except as expressly provided in an applicable Master Agreement.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance, except as expressly provided in an applicable Master Agreement. Nothing in these Legal Terms obligates us to maintain and support the Services or to supply any corrections, updates, or releases, except as expressly provided in an applicable Master Agreement.
16. GOVERNING LAW
These Legal Terms are governed by and construed in accordance with the laws of Singapore. Aroha Labs Pte. Ltd. and you irrevocably consent that, subject to the Dispute Resolution section below, the courts of Singapore shall have jurisdiction to resolve any dispute arising in connection with these Legal Terms.
17. DISPUTE RESOLUTION
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute"), the Parties agree to first attempt to negotiate any Dispute (except those expressly excepted below) informally and in good faith for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other.
Binding Arbitration
Any Dispute arising out of or in connection with these Legal Terms, including any question regarding its existence, validity, or termination, that is not resolved through informal negotiation shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC then in force, which rules are deemed incorporated by reference into this clause. The number of arbitrators shall be one (1). The seat of arbitration shall be Singapore. The language of the arbitration shall be English. The governing law of these Legal Terms shall be the substantive law of Singapore.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class-action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Such Disputes shall be decided by the courts of Singapore, and the Parties consent to the personal jurisdiction of those courts.

Where you have a Master Agreement with us that specifies a different limitation of liability, that limitation controls.
CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
